1. Definitions

• Platform: The Kanoon Portal web application, tools, APIs, content, data, AI features, and related services.
• User: Any individual or entity accessing or using the Platform ("you").
• Content: Text, data, court decisions (Najir), statutes, translations, templates, questions, analytics, outputs, or materials displayed or generated on the Platform.
• User Content: Material uploaded, submitted, drafted, generated or otherwise provided by a User (including form inputs, prompts, comments, saved drafts, feedback).
• AI Output: Any textual, analytical, translated, summarized, or drafted material produced by AI features in response to User prompts or inputs.
• Subscription: A paid plan granting time-bound access to premium features.

2. Scope of Service

Kanoon Portal is an AI‑powered legal research and productivity platform focused on Nepal's legal system. Core modules include (a) Najir / case law search, (b) statute & legal directory, (c) AI drafting & summarization, (d) translation (Nepali–English / English–Nepali), (e) Preeti ⇆ Unicode conversion, (f) document templates & form generation, (g) paralegal support facilitation, and (h) analytics & knowledge tools. We may add, modify, or discontinue features at our discretion to improve reliability, accuracy, security, or compliance.

3. Eligibility & Account Registration

• You must be at least 18 years old or have legal capacity under applicable law.
• You are responsible for maintaining the confidentiality of login credentials and for all activities under your account.
• You must promptly notify us of any unauthorized use or security breach.
• We may suspend or terminate accounts for suspected misuse, fraud, security risk, or breach of these Terms.

4. Acceptable Use

You agree NOT to:

• Use the Platform for unlawful, defamatory, fraudulent, or deceptive purposes.
• Automate bulk scraping, harvesting, or systematic extraction of datasets without written consent.
• Attempt to reverse engineer, circumvent access controls, or compromise security.
• Upload malicious code, perform load, penetration, or stress testing without authorization.
• Misrepresent AI Output as a certified legal opinion, court ruling, or professional representation.
• Use AI features to generate disallowed, discriminatory, or harmful content.
• Infringe intellectual property or violate privacy or data protection obligations.

5. Intellectual Property

• The Platform design, UI, databases (excluding public domain legal texts), compilation, software code, trademarks, and branding are owned by Synapse Technologies Pvt Ltd or its licensors.
• Public laws, statutes, and court decisions reproduced are provided for informational purposes; any curation, formatting, metadata, translations, summaries, annotations, or added structure constitute protectable derivative work.
• You receive a limited, revocable, non-transferable license to access and use the Platform for lawful internal research and professional workflows.
• You retain rights to your original User Content; by submitting it you grant us a worldwide, non-exclusive, royalty-free license to store, process, and display it solely to provide and improve the Service (unless you separately consent to extended AI training use).

6. AI Output & Accuracy Disclaimer

AI Output may contain inaccuracies, outdated information, hallucinations, or misinterpretations despite safeguards. AI Output is provided strictly for informational and drafting assistance and does not constitute legal advice, advocacy, or a substitute for consultation with a qualified legal professional. You are solely responsible for reviewing, validating, and applying outputs before reliance. We make no warranties regarding completeness, suitability, or correctness of any AI Output.

7. No Attorney–Client Relationship

Use of the Platform does not create an attorney–client, fiduciary, or professional advisory relationship between you and the Company. Interaction with AI assistants or support features does not constitute legal representation.

8. Subscription Plans, Billing & Refunds

• Premium features require an active subscription or usage-based credits.
• Fees, inclusions, fair usage limits, and billing cycles are disclosed during checkout. We may adjust pricing with notice for future cycles.
• Unless stated otherwise, all fees are non-refundable once a billing cycle begins, except where required by law or in case of a verified platform-wide outage materially exceeding published SLAs.
• Failure to pay may result in suspension or downgrading of features.

9. Fair Usage & Rate Limits

To preserve system integrity, we may impose automated or manual rate controls on search queries, AI generations, downloads, and exports. Excessive or abnormal activity (e.g., mass precedent harvesting, automated template generation) may trigger temporary throttling or review.

10. Data Privacy & Security

We implement encryption in transit (TLS) and at rest, access controls, audit logging, redundancy, and regular security reviews. We minimize personal data collection. Additional details are outlined on our Security page and forthcoming Privacy Policy. By using the Platform you consent to processing of data in jurisdictions where we or our subprocessors operate (subject to applicable Nepali law and international standards, where relevant).

11. User Content Responsibility

• You warrant that you have rights or authorization to upload or process any User Content.
• You must not submit confidential client data unless you have obtained appropriate consents or anonymized sensitive identifiers.
• We may remove or restrict content violating these Terms, applicable law, or risk standards.

12. Third-Party Services

Some features may rely on third-party AI, translation, hosting, or analytics providers. Use of those features may be subject to additional third-party terms. We are not liable for interruptions or changes attributable to external providers.

13. Maintenance & Availability

We endeavor for high availability but do not guarantee uninterrupted access. Planned maintenance, emergency security patches, upstream outages, or force majeure events may impact performance. Critical updates may be deployed without prior notice when required for security or legal compliance.

14. Suspension & Termination

We may suspend or terminate accounts that: (a) breach these Terms, (b) pose security / integrity risks, (c) engage in abusive or unlawful conduct, or (d) fail to pay dues. Upon termination your license ends and access to stored data or AI history may cease subject to retention policies. You may request account closure by contacting support; residual backups may persist for a limited retention window.

15. Limitation of Liability

To the fullest extent permitted by law: (a) we disclaim all implied warranties (merchantability, fitness, non-infringement); (b) the Platform is provided "AS IS" and "AS AVAILABLE"; (c) our aggregate liability for any claim shall not exceed the total fees paid by you to us in the preceding six (6) months; (d) we are not liable for indirect, consequential, punitive, or special damages (including lost profits, lost data, business interruption) even if advised of the possibility.

16. Indemnification

You agree to indemnify and hold harmless the Company, its directors, officers, employees, and contractors from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your misuse of the Platform, (b) infringement or violation of third-party rights, (c) breach of these Terms, or (d) User Content you submit.

17. Modifications to Terms

We may update these Terms from time to time. Material changes will be notified via the Platform, email, or a prominent banner. Continued use after the effective date constitutes acceptance. The revision date below reflects the latest update.

18. Compliance & Lawful Use

You are responsible for ensuring that your use complies with local, national, and international laws, including professional ethical obligations, data protection requirements, and export control or sanctions regimes applicable to AI technologies or data transmissions.

19. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Nepal, without regard to conflict of law principles. Parties shall first attempt good-faith negotiation. If unresolved within thirty (30) days, disputes may be submitted to arbitration seated in Kathmandu under rules of a recognized Nepali arbitration institution. Judgments may be enforced in competent courts. Interim injunctive relief may be sought where necessary to prevent irreparable harm.

20. Severability

If any clause is deemed unenforceable, the remaining provisions remain in effect and shall be interpreted to best reflect the original intent.

21. Entire Agreement

These Terms constitute the entire agreement between you and the Company concerning Platform use and supersede prior representations or agreements (oral or written) regarding the subject matter, except any supplemental service-specific agreements expressly referencing these Terms.
